4.1 Definitions

Please read the License agreement first.

Promoter: A legal entity that has been granted permission by gipSoft to promote the Software to the public.

Intermediary: An integrator or promoter who takes on the role of facilitator in the acquisition of the Commercial Edition license.

4.2 Pricing and Discounts for Licensees

To charge fees for the Commercial Edition, we use the "industry-Plus" pricing model, which consists of 12 letters and stands for the 12% rule. This means that our fees are always 12% lower than a comparable offer from a competitor.

To do this, the licensee should obtain an offer from another provider. In order for a realistic comparison to be possible, the competitor's offer must be a user-based license and the runtime license (base price) must be shown separately from the additional add-on packages. For comparison, SCADA, low-code or other software platforms that have been available on the market for at least three years and the comparison offer is not older than one year can be used. If the competitor offers a time-limited billing model, it must be converted into a total amount equivalent to a term of 12 years. If the licensee expects a shorter usage time, this must be clarified with gipSoft in order to obtain a fee adjustment.  A comparison with other billing models such as pay-as-you-go or volume-based models is not possible. For OEMs or comparison with competing products that issue developer licenses, we must be provided with the annual sales volume for comparison. If no comparison is possible or no settlement offer is submitted or unrealistic low prices are shown, then a flat rate of 720€ (= 5€ x 12 months x 12 years) for iplus-framework and 1,440€ (= 10€ x 12 months x 12 years) for iplus-MES will be estimated. We allow the first factor, the monthly basic price, to be adjusted over time.

In order to avoid discrepancies in the licensing process, we recommend that the licensee or the intermediary, on his behalf, ask us for a quote before using the software.

4.3 Intermediaries

Intermediaries enter into a contractual relationship with gipSoft so that the commission can be distributed.

4.4 Integrators

In the case of a license purchase, the integrator receives 12% commission from the sales price if he has been officially appointed as an integrator by the licensee. The commission to the integrator is also due if the licensee has requested the licenses directly from gipSoft. If the licensee does not have an integrator and is responsible for the software maintenance himself, then the licensee receives a further 12% discount because he has taken on the role of integrator himself.

4.5 Promoter

In the case of a license acquisition, the licensee has the obligation to inform gipSoft about which promoter was significantly involved in the end customer's purchase decision on iplus-framework. By promoter we mean a legal entity or natural person who has registered as a promoter with gipSoft before making the purchase decision and can prove that he is advertising iplus-framework. The promoter receives 12% commission. The end customer must appoint at least one promoter, but can also appoint several up to a maximum of three. In these cases, the 12% share is halved or thirded. The role of a promoter can only be assumed by persons who are not otherwise in a possible business relationship with the end customer. This means that both integrators and software vendors who sell third-party software cannot act as promoters. People from the developer community who do not belong to the aforementioned groups may also take on the role of promoter. However, promoters are allowed to partner with integrators and software vendors if it is conducive to sales success. However, an integrator or software manufacturer is by no means prohibited from advertising iplus-framework.

4.6 Developer Community

The developer community, in turn, receives 12% of the revenue under an annual bill. The developer community includes all legal or natural persons who improve, extend or document the software on gitHub. The developer community also includes the employees of gipSoft. Each member of the developer community is rewarded proportionately according to their annual contribution. If members are employed by a company and provide the community service on behalf of this company, the settlement takes place with the company itself. Members who are private individuals can only be rewarded if they are able to invoice in accordance with the law. GitHub statistics are used to objectively evaluate a developer's participation performance (number of commits, number of program lines, written documentation texts, and other metrics).

4.7 Donations to non-profit organizations

The last 12% of the revenue is distributed at the end of the year to non-profit organizations selected either by gipSoft or through a democratic vote of all contributors.
