Our website makes use of so-called cookies in order to recognize repeat use of our website by the same user/internet connection subscriber. General Terms and Conditions

Terms of Service

1. General

a) The following terms and conditions apply to all current and future deliveries by gipSoft d.o.o., unless other conditions have been agreed in writing.

b) By placing an order, the customer accepts these terms and conditions. Differing conditions of the customer are not valid. Ancillary agreements require express written approval by gipSoft d.o.o. in order to be legally valid.

c) The terms and conditions only apply to entrepreneurs within the meaning of § 310 I BGB.

2. Offer and conclusion of contract

a) Our offer is non-binding.

b) A contract is only concluded with our written order confirmation.

c) The supplier reserves the right of ownership and copyrights to cost estimates, drawings and other offer documents; they may not be made accessible to third parties.

d) The scope of delivery is described in the order confirmation. Hardware and software that not described are not part of the scope of delivery. If the order confirmation is not contradicted within 10 working days, then its content is considered a binding subject matter of the contract.

e) The software scope can only be roughly outlined in the order confirmation. If a specification is created after the order confirmation, then the content of the specification is deemed to be the binding scope of delivery. If the scope of services is changed as a result, gipSoft d.o.o. reserves the right to adjust the price and delivery date. The specifications are recognized by the customer and the supplier with legally binding signatures.

3. Prices and Payments

a) Unless otherwise stated in the order confirmation, our prices apply ex works excluding packaging, freight, insurance and customs.

b) The statutory value added tax is not included in our prices. It will be shown separately in the statutory amount on the invoice date.

c) Services are to be paid immediately after receipt of the invoice. All other invoices from gipSoft d.o.o. are to be paid within 14 days with a 2% discount or 30 days net after the invoice date, unless otherwise agreed. The statutory rules regarding default in payment apply.

d) The customer is only entitled to set-off rights if his counterclaims have been legally established, are undisputed or have been recognized by us. He is authorized to exercise a right of retention insofar as his counterclaim is based on the same contractual relationship.

4. Delivery time

a) The delivery period begins with the order confirmation, but not before receipt of all the documents required for the order confirmation and complete clarification of the technical requirements and receipt of the agreed advance payment. If all documents and clarifications and prepayment are not received on time, the delivery period will be extended appropriately.

b) If the scope of services is subsequently changed at the request of the customer, the price and the delivery date must be newly agreed.

c) The supplier is only in default if the customer has previously set him a reasonable grace period in writing and the supplier has culpably allowed this period to pass without delivering.

d) If we are prevented from fulfilling our obligations in spite of applying the care reasonable in the circumstances of the case - regardless of whether these circumstances occur with us or our suppliers - we are entitled to withdraw from the contract. If delivery and service become impossible due to the circumstances mentioned, gipSoft d.o.o. is released from the delivery obligation and all other related obligations. gipSoft d.o.o. will inform the customer immediately about the occurrence of such events.

e) If the customer is in default of acceptance or if he culpably violates other obligations to cooperate, we are entitled to demand compensation for the damage we incur in this respect, including any additional expenses. We reserve the right to make further claims.

5. Delivery, transfer of risk and acceptance

a) Partial deliveries are permitted.

b) The risk is transferred to the customer as soon as he is notified that the delivery item is ready for dispatch, but at the latest when the goods have left the gipSoft d.o.o. factory. This also applies if carriage paid delivery, installation and commissioning have been agreed by the supplier.

c) The customer is obliged to accept the delivery items immediately after delivery. If assembly and commissioning are included in the scope of delivery, acceptance must take place immediately after assembly or after completion of the first test run. Minor defects that do not significantly affect the function do not justify a refusal of acceptance.

d) The system is deemed to have been accepted when the customer starts production with the delivery items.

e) In the event of a delay in acceptance, the customer is obliged to reimburse the supplier for all costs incurred as a result.

6. Warranty

a) The hardware warranty is 12 months and begins with the intended use. The warranty for software is 24 months and begins with acceptance, but no later than 6 weeks after hardware delivery.

b) Complaints about incomplete deliveries or externally recognizable defects in the delivery item must be submitted to gipSoft d.o.o. in writing no later than 8 days after receipt of the delivery item, those due to hidden defects immediately after their discovery.

c) In the event of notices of defects, payments by the customer may be withheld to an extent that is reasonable in relation to the defects that have occurred. The customer can only withhold payments if a complaint is made, the justification of which cannot be doubted. If the notification of defects is wrong, we are entitled to demand that the customer reimburse us for the expenses incurred.

d) If the rectification fails or if it is not performed within a reasonable period of time or if it is refused, the customer - regardless of any claims for damages in accordance with Section 8 - has the right to either demand an appropriate reduction in remuneration or the cancellation of the contract.

e) Furthermore, the supplier does not guarantee that the programs will function without interruption or error, in particular that all program errors can be eliminated if the usability of the programs is only insignificantly impaired.

f) At the request of the supplier, after the complaint has been made, the customer is obliged to return the delivery item to gipsoft doo at his own risk.

g) All warranty claims expire if work on the delivery items is carried out by a third party without the consent of gipSoft d.o.o..

h) Clause 8 also applies to claims for damages (other claims for damages). Further or other claims of the customer against the supplier and his vicarious agents due to a defect are excluded.

7. Right to Use Programs

a) All rights to programs for devices and computer systems, in particular copyright and industrial property rights, remain with the supplier.

b) The customer receives the non-exclusive and non-transferable right to use programs on the hardware specified in the contract or purchased with this contract. Any further use requires a separate written agreement.

c) The purchaser's right of use is not limited in time.

8. Other claims for damages

a) Claims for damages and reimbursement of expenses by the customer (hereinafter: claims for damages), regardless of the legal reason, in particular due to breach of obligations arising from the contractual relationship and from tort, are excluded.

b) This does not apply if there is mandatory liability, e.g. B. according to the Product Liability Act, in cases of willful intent, gross negligence, due to injury to life, limb or health, due to the violation of essential contractual obligations. The claim for damages for the breach of essential contractual obligations is limited to the contract-typical, foreseeable damage, unless there is intent or gross negligence or liability is due to injury to life, body or health. A change in the burden of proof to the detriment of the customer is not associated with the above regulations.

9. Retention of title

a) The goods remain the property of the supplier until all claims to which he is entitled against the customer from the business relationship have been met.

b) As long as there is retention of title, delivery items may only be
sold or processed by the customer in the ordinary course of business and may not be pledged. He already now assigns to the supplier all claims that arise from the resale against the customer or against third parties, regardless of whether the reserved item is resold without or after processing or transformation. The purchaser is authorized to collect these claims even after the assignment. The authority of the supplier to collect the claims himself remains unaffected; however, the supplier undertakes not to collect the claims as long as the customer properly meets his payment obligations.

c) The supplier undertakes to release the securities to which he is entitled insofar as their value exceeds the claims to be secured by more than 25%, insofar as these have not yet been paid.

d) The customer is obliged to assert and safeguard all rights of gipSoft d.o.o. from the security conditions against any third party, in particular in the case of threats of seizure, to inform gipSoft d.o.o. of any distraint or other impairment of property rights immediately to display.

e) If the customer defaults on his payment obligations towards gipSoft d.o.o. or if he violates one of the obligations arising from the agreed retention of title, the entire remaining debt is due immediately. In this case, gipSoft d.o.o. is entitled to demand the surrender of the delivery item and to collect it from the customer without having to withdraw from the contract beforehand. In this respect, the customer has no right to possession. Taking back the delivery item is only a withdrawal from the contract if gipSoft d.o.o. expressly confirms this in writing. In this case gipSoft d.o.o. is also entitled to notify the purchaser's customers of the assignment of the purchaser's claims to gipSoft d.o.o. and to collect the claims.

10. Fulfillment

a) The place of performance for deliveries and payments - including exchange connections - and the place of jurisdiction for all disputes arising directly from the contractual relationship is our place of business.

b) The supplier is also entitled to sue at the headquarters of the customer.
